Coaching Programme Disclosures
Issued by ORANGE SPORTS SOLUTIONS, LLC
COACHING PROGRAMME DISCLOSURES AND ACKNOWLEDGMENTS
By checking the box and submitting, I acknowledge and agree to the following. Capitalized terms have the meanings given in the Assumption of Risk, Release of Liability, and Indemnity Agreement — Coaching Programmes (the "Waiver"), which I accept together with this document. Where the two conflict, precedence is set out in Section 21 of the Waiver.
Section 1. Terms of Service and Privacy Policy
I have had the opportunity to read, and I agree to, the Orangish Terms of Service and Privacy Policy (the "Privacy Policy"), published by the Platform Operator, which govern my use of the Orangish software and are incorporated here by reference. They are available in the app and at orangish.io.
Section 2. Who Provides What
Three parties are involved in a Programme, and it matters which is which.
The Academy — ORANGE SPORTS SOLUTIONS, LLC — delivers the coaching. It employs or engages the coaches, sets the curriculum, runs the sessions, occupies the courts during a session under its own lease or licence with the venue, and is the party I am paying.
The Platform Operator — STAR SQUASH, LLC, trading as Orangish — supplies the software through which Programmes are listed, booked, paid for, recorded, and analysed. It does not deliver coaching and does not employ the coaches.
The Brand Owner — SQUASH TIGERS LLC, a wholly-owned subsidiary of STAR SQUASH, LLC — owns the SQUASHTIGERS name and marks and licenses them to the Academy. It licenses a brand and nothing more.
The Host Venue owns the premises. It is not a party to this document.
Section 3. What I Am Purchasing
I am purchasing coached instruction — a lesson, clinic, squad, camp, assessment, or a pack of sessions — from the Academy. I am not purchasing membership of any club, a right of access to any facility outside a booked session, or a guarantee of a particular coach, court, or outcome.
Section 4. Club Membership Is Separate and Is Not Sold Here
Where a Host Venue sells memberships, those memberships are sold, priced, collected, and administered by that venue. Neither the Academy, the Platform Operator, nor the Brand Owner charges a membership fee, sets membership pricing, or decides whether a membership starts, continues, or ends.
I do not need a membership to buy coaching. Lessons, squads, camps, and pro-shop purchases are open to me whether or not I belong to any club.
A membership governs court booking only. If my membership lapses or ends I keep my account and can still book coaching, but I will no longer be able to book a court, and the rate I am charged for coaching may change from the member rate to the non-member rate.
If my Orangish account shows a membership at a Host Venue, it reflects what that venue has told us about my standing with them. Questions about joining, renewing, pricing, refunds, or the end of a membership go to the venue.
Section 5. Eligibility and Age
I am 18 or older, or I am the parent or legal guardian of the junior Participant named in this account and I am accepting on their behalf. I will keep the account information accurate — including date of birth, which determines junior pricing and eligibility, and the safety record described in Section 7.
Section 6. Account Security
I am responsible for keeping my Orangish login credentials confidential and for all activity under my account, including bookings made and fees incurred. I will not share my credentials or let another person book under my account, and I will tell the Academy promptly about any unauthorized use.
Section 7. Safety Record
Before a Participant's first session I will complete their safety record — emergency contacts, and any condition, allergy, medication, injury, or limitation a coach should reasonably know about. I will keep it current. An incomplete record may prevent enrollment.
That record is held for the Participant's safety. It is visible to the Participant and their guardian, to a coach taking a session that Participant is booked into, and to club staff who need it; it is never visible to other members, and it is not included in any member export.
Section 8. Payment
I authorize the Academy to charge my saved payment method, through Stripe, for Programmes I book, packs I buy, pro-shop purchases I make, and any cancellation, late-cancellation, or no-show fee properly applied under Section 10. Card details are held by Stripe, not by the Academy, the Platform Operator, or the Brand Owner.
This authorization covers coaching and pro-shop charges only. It does not extend to club membership dues, joining fees, or any other charge a Host Venue makes for membership or facility access. Those are paid directly to the venue. No membership charge is ever taken through Orangish, by the Academy, by the Platform Operator, or by the Brand Owner, and none of them can start, change, renew, or cancel a membership charge.
Programme fees are collected by the Academy and settle to the Academy's own account. The Platform Operator does not receive or hold Programme fees.
Section 9. Pricing, Taxes, and Fees
The price shown at the time of booking is the price I will be charged, inclusive of any tax and any processing or platform fee shown in the breakdown at checkout. Member and non-member rates may differ, and the rate applied is the one in effect for my status at the time of booking. Prices may change for future bookings.
Section 10. Cancellations, No-Shows, and Refunds
The cancellation window and any late-cancellation or no-show fee are shown at the time of booking and in the booking's detail in the app. A coach's time is reserved for me; a late cancellation may be charged in full or in part, and failing to attend without cancelling may be charged as a no-show.
If the Academy cancels a session I will be offered a reschedule or a refund of that session. Sessions cancelled because a Host Venue closes or its courts become unavailable are treated the same way.
Section 11. Packs, Credits, and Expiry
Session packs are prepaid, are personal to the Participant, are not transferable unless we agree otherwise in writing, and expire on the date shown at purchase. Expired sessions are not refundable. A pack is credit toward Programmes — not a deposit, a stored-value instrument, or a membership.
Section 12. Coach Substitution and Programme Changes
The Academy may substitute a coach, change a court or time, combine or split groups, or cancel a session. Where a named coach is unavailable an equivalently qualified coach may take the session. A substitution is not itself a ground for a refund.
Section 13. Junior Participants and Guardianship
For a Participant under 18 the accepting adult is responsible for the account, for payment, for keeping the safety record current, and for arrival, departure, and supervision outside the scheduled session. A Programme is coached instruction, not childcare. Where a junior's account is linked to a guardian's email address, notices, receipts, and reminders for that junior are sent to the guardian.
Section 14. Recording and Streaming
Courts at some venues are fitted with cameras that record and live-stream play, and a camera records everyone on court, not only the person who booked. I consent to being recorded and streamed on such a court.
Unless a recording or stream is made private, it is public: anyone holding its link can watch it live and can watch the recording afterwards. A session recording is available to everyone booked into that session, to their accepting guardians, and to coaching staff. I can make any recording or stream of my own session private at any time from my account, and the Academy will do so on request.
Section 15. Match Analysis Reports
An analysis report generated from a recording is published to a link that anyone holding it can open, and it names the players on court. I can make a report private at any time from the report page or my account, and the Academy will do so on request.
Section 16. Under-18 Sharing
For a Participant under 18, public streaming, public sharing, and promotional use are off by default. They are enabled only where a verified parent or legal guardian has separately and specifically turned them on. No club, venue, or account holder consents to public sharing of a child on a guardian's behalf, and accepting these disclosures is not such a consent.
Section 17. Performance Data, AI Analysis, and Wearables
The software may generate performance data from video, court sensors, and any wearable device I connect — movement, shot, rally, and fitness metrics — and may apply automated and AI-assisted analysis to produce ratings, summaries, and coaching suggestions.
This output is an aid to coaching. It is not medical, diagnostic, physiotherapeutic, or safety advice, it may be inaccurate or incomplete, and no Released Party is liable for a decision made in reliance on it except as Section 7 of the Waiver preserves. I may disconnect a wearable at any time.
Section 18. Data Processing
My personal information is processed as described in the Privacy Policy. Delivering a Programme requires sharing certain information between the Academy and the Platform Operator — name, contact details, bookings, payments, and, where relevant to safety, the safety record. Third-party providers are used for payments, messaging, email, video hosting, and analytics. Where a Programme runs at a Host Venue, that venue may be told who is booked into a session on its premises.
Section 19. Electronic Communications
I agree to receive booking confirmations, reminders, schedule changes, safety notices, and account messages by email, in-app message, and push notification. Messages of that kind are part of the service.
Text-message reminders are separate and optional. They are sent only if I opt in, and I can stop them at any time by replying STOP or by turning them off in my account, as described in the SMS Program terms. My mobile number and SMS consent are never sold or shared for anyone else's marketing. Marketing messages are separate from transactional ones and I can opt out of them without affecting my bookings.
Section 20. Promotional Use
Photographs and video from Programmes may be used to promote the Academy, the SQUASHTIGERS brand, or Orangish, but only where the sharing consent in my account permits it and subject to Section 16. I can withdraw that consent at any time; withdrawal applies going forward and does not require the recall of material already published.
Section 21. Changes and Re-Acceptance
These disclosures and the Waiver may be updated. Where a change is material I will be asked to accept the new version before booking a further Programme. Continuing to book after a non-material change means the current version applies.
Section 22. Governing Law, Disputes, and Severability
These disclosures are governed by the law of the State of New Jersey, without regard to its conflict-of-laws rules. Section 19 of the Waiver — dispute resolution and binding individual arbitration, including the class-action and jury waivers and the 30-day opt-out — applies to any dispute arising out of these disclosures. If any provision here is held unenforceable it shall be limited or severed to the minimum extent necessary and the remainder continues in full force.
Section 23. Consent to Electronic Records and Signatures
I agree to transact electronically, that checking the acceptance box is my signature, and that electronic records satisfy any requirement that a record be in writing. I can request a copy of what I have accepted at any time.
Section 24. Acknowledgment
I have read these disclosures and the Waiver. I understand that the Academy delivers the coaching, that the Platform Operator supplies the software, that the Brand Owner licenses the SQUASHTIGERS name, that any club membership is a separate matter with the Host Venue, and that I am accepting freely.
Part 3 · version 1
Coaching Liability Waiver
Issued by ORANGE SPORTS SOLUTIONS, LLC
ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND INDEMNITY AGREEMENT — COACHING PROGRAMMES
Please read this Agreement carefully. It affects your legal rights, including your right to sue and your right to have a dispute heard by a court or a jury. By checking the box and submitting your acceptance, you agree to all of the terms below on behalf of yourself and, where you are accepting for a minor, on behalf of that minor and yourself as parent or legal guardian.
Section 1. Definitions
"Academy," "Provider," "we," "us," and "our" means ORANGE SPORTS SOLUTIONS, LLC, a New Jersey limited liability company, and its owners, officers, members, managers, employees, coaches, instructors, contractors, volunteers, and agents.
"Platform Operator" means STAR SQUASH, LLC, a New Jersey limited liability company, doing business as Orangish, and its owners, officers, members, managers, employees, contractors, and agents.
"Brand Owner" means SQUASH TIGERS LLC, the owner of the SQUASHTIGERS name, marks, and branding, and a wholly-owned subsidiary of STAR SQUASH, LLC, together with its owners, officers, members, managers, employees, contractors, and agents.
"SQUASHTIGERS" means the brand under which the Academy delivers Programmes, used under licence from the Brand Owner.
"Orangish" means the Orangish software platform and mobile application, operated by the Platform Operator.
"Host Venue" means the facility at which a Programme takes place, together with its owner, operator, school, staff, and agents.
"Programme" means any lesson, clinic, squad, camp, training session, assessment, or other coached or supervised activity that we deliver or arrange.
"Participant," "you," and "your" means the person taking part in a Programme; where that person is under 18, it also means the parent or legal guardian accepting on their behalf.
"Released Parties" means the Provider, the Platform Operator, and the Brand Owner, collectively.
Section 2. What This Agreement Covers, and Who It Protects
This Agreement covers your participation in Programmes.
The Brand Owner licenses the SQUASHTIGERS name and marks to the Academy and does nothing else. It does not deliver coaching, does not employ or supervise coaches, holds no court time at any venue, and does not own, occupy, or control any premises. It is named here because it is a Released Party, not because it operates anything.
During a scheduled Programme, the Academy — not the Host Venue — is in possession and control of the playing area, which it occupies under its own lease or licence with the Host Venue. The Platform Operator and the Brand Owner are not parties to that lease or licence.
The Host Venue is not a party to this Agreement. For claims arising out of your participation in a Programme, the Host Venue is an intended third-party beneficiary of Sections 3, 6, 8, 9, and 10 and may enforce them directly. Nothing in this Agreement releases a Host Venue in respect of your use of its premises outside a Programme, or in respect of any separate membership or facility relationship you have with it, and nothing in a Host Venue's own agreement is intended to release us.
Where a Host Venue requires its own membership, waiver, or facility agreement, that document is separate from this one and is between you and the Host Venue.
Section 3. Inherent Risks of Squash
Squash and related conditioning are strenuous physical activities carried out at speed in an enclosed court. I understand and acknowledge that they carry inherent risks that cannot be eliminated however carefully a Programme is run, including: contact with the ball, a racquet, a wall, the floor, the tin, the door, or another person; slips, trips, falls, and collisions; sprains, strains, fractures, dental and eye injuries, concussion and other head injuries; overexertion, dehydration, heat illness, and cardiac events; aggravation of a pre-existing condition; and, in rare cases, permanent disability or death.
I understand these risks, I choose to participate with knowledge of them, and I accept that they are a normal and expected part of the sport rather than evidence that anything was done wrong.
Section 4. Physical Condition and Medical Fitness
I represent that the Participant is in sufficient physical condition to take part and has no medical condition that participation would make unsafe, and that I have obtained medical clearance where appropriate.
I will complete and keep current the Participant's safety record in their Orangish account — emergency contacts, and any condition, allergy, medication, injury, or limitation a coach should reasonably know about, including asthma, cardiac conditions, seizure disorders, diabetes, and any prior concussion. I understand that coaches rely on that record, that we cannot act on information we have not been given, and that an incomplete record may prevent enrollment.
The Participant will stop and tell a coach immediately on any pain, dizziness, breathlessness, head impact, or other symptom of distress.
Section 5. Concussion
If a Participant sustains a suspected concussion or head injury during a Programme, they will be removed from play immediately and will not return that day. They may return only on written clearance from a licensed healthcare provider qualified to evaluate concussion. I agree to this whether or not a coach witnessed the impact, and I will tell us about any concussion sustained elsewhere before the Participant next takes part.
Section 6. Consent to Emergency Medical Treatment
If the Participant is injured or becomes unwell during a Programme and we are unable to reach me or the alternate contact in their safety record in time, I authorize the Academy to summon emergency medical services and to consent, on my behalf and on the Participant's, to first aid, transport, examination, and emergency treatment by qualified personnel, including anaesthesia and surgery if a treating physician judges it necessary.
I accept financial responsibility for the cost of that care. I confirm the emergency contacts, medical information, physician, and insurer in the Participant's safety record are accurate and current.
Section 7. Release and Waiver of Liability
To the fullest extent permitted by applicable law, I release, waive, and discharge the Released Parties from any and all claims, demands, actions, causes of action, losses, damages, costs, and expenses of any kind arising out of or relating to participation in a Programme, including any claim founded on the ordinary negligence of a Released Party.
This release does not apply to, and I do not waive, any claim arising from gross negligence, recklessness, or wilful, wanton, or intentional misconduct, nor any liability that applicable law does not permit to be released.
Section 8. The Platform Operator and the Brand Owner
The Platform Operator supplies the Orangish software through which Programmes are listed, booked, paid for, recorded, and analysed. It does not deliver coaching, does not employ or supervise coaches, does not occupy or control any premises, and does not inspect or maintain any court or equipment. The Brand Owner licenses a name and does none of those things either.
Because neither of them delivers a Programme, no claim arising out of the delivery of a Programme, the conduct of any coach or participant, or the condition of any premises lies against the Platform Operator or the Brand Owner, except to the extent Section 7 preserves a claim.
To the fullest extent permitted by law, and subject to the same exception, I also release the Platform Operator from claims arising out of the software itself — including scheduling and reminder failures, booking or pricing errors, duplicated or mistaken charges, interruption or loss of recordings, a recording or stream reaching an audience I did not intend, the routing of notices to a guardian's address, and any rating, metric, analysis, or recommendation the software produces. The software is provided as-is. It is not a safety system, and nothing it produces is medical, diagnostic, or safety advice or a substitute for the judgement of a qualified professional.
My use of Orangish is also governed by the Orangish Terms of Service and Privacy Policy, published by the Platform Operator.
Section 9. Covenant Not to Sue
I agree not to bring any claim, suit, or proceeding against a Released Party that I have released under this Agreement. If I do, and the release is upheld, I agree to reimburse that Released Party's reasonable legal costs of enforcing it.
Section 10. Indemnification and Hold Harmless
I agree to indemnify and hold the Released Parties harmless from any claim brought by a third party arising out of the Participant's conduct during a Programme, my breach of this Agreement, or a failure to disclose a medical condition under Section 4. This Section does not apply to a claim arising from a Released Party's own gross negligence or wilful misconduct.
Section 11. Minor Participants — Parent and Guardian Consent
If the Participant is under 18, I confirm that I am their parent or legal guardian with authority to accept this Agreement on their behalf. I consent to their participation and I accept the risks described in Section 3 on their behalf and on my own.
I agree to Sections 4, 5, 6, 7, 9, and 10 in both capacities.
Separately, and in my own capacity as to my own claims, I release the Released Parties from any claim of my own arising out of the Participant's participation in a Programme — including any claim for the Participant's medical expenses, loss of services, or loss of companionship — to the fullest extent permitted by law.
A Programme is coached instruction, not childcare and not general supervision outside the scheduled session. I am responsible for the Participant's arrival and departure and for their supervision before and after the session, and I will ensure they are collected by an authorized adult. If a Participant is not collected within 30 minutes of the session ending and we cannot reach me or the alternate contact, I authorize the Academy to remain with them and, if necessary, to contact local authorities for their welfare.
Section 12. Coaching Judgement and Programme Changes
Coaches may group participants, set drills and intensity, and adjust or end a session as they judge appropriate for safety and for the group. We may substitute a coach, change a court or time, or cancel a session. Where a Host Venue closes, restricts access, or its courts become unavailable, a Programme may be moved, shortened, or cancelled without that being a breach of this Agreement.
Section 13. Recording, Streaming, and Likeness
Courts at some venues are fitted with equipment that records and live-streams play. I consent to being recorded and streamed while on a court fitted with that equipment, whether or not I am in a Programme, and to that material being used for coaching, review, performance analysis, safety, and training.
I understand that unless a recording or stream is made private, it is public: anyone holding its link can watch it live and can watch the recording afterwards. I can make any recording or stream of my own session private at any time from my account, and we will make one private on request.
I grant the Released Parties a non-exclusive, royalty-free, worldwide licence to capture, store, and use recordings of me, including my image, voice, name, and athletic performance, for the purposes described in this Section and — only where the sharing consent in my account permits it — for promotion. I have no ownership interest in that material and receive no compensation for its capture or use. I may withdraw promotional consent at any time; withdrawal applies going forward and does not require the recall of material already published. Material retained for coaching, safety, or record-keeping is unaffected.
For a Participant under 18, public streaming, public sharing, and promotional use are OFF by default. They are enabled only where a verified parent or legal guardian has separately and specifically turned them on, and only consistent with applicable governing-body policy. Neither the Academy, the Platform Operator, the Brand Owner, nor a Host Venue consents to public streaming or public sharing of a child on an account holder's behalf, and acceptance of this Agreement is not such a consent.
Section 14. Personal Property
We are not responsible for loss of or damage to personal property brought to a Programme, including racquets, bags, eyewear, phones, and items left in a changing room or locker. Property at a Host Venue is governed by that venue's own terms.
Section 15. Protective Eyewear and Equipment
I am responsible for supplying equipment appropriate to participation. Where a Programme, a Host Venue, or applicable competition rules require protective eyewear, the Participant will wear it for the whole session and a coach may refuse participation without it.
Section 16. Communicable Disease
Group physical activity in an enclosed space carries a risk of exposure to communicable illness that cannot be eliminated. I accept that risk and agree that the Participant will not attend a Programme while knowingly infectious or symptomatic.
Section 17. No Reliance on Provider Insurance
I am responsible for the Participant's own medical, accident, and disability insurance. Neither the Provider, the Platform Operator, nor the Brand Owner provides accident or health insurance for participants, and I am not relying on any of them for such cover.
Section 18. Governing Law
This Agreement is governed by the law of the State of New Jersey, without regard to its conflict-of-laws rules.
Section 19. Dispute Resolution and Arbitration — Please Read, This Affects How Disputes Are Decided
Before starting any proceeding, the parties will raise the dispute in writing and attempt in good faith to resolve it within 30 days.
Any dispute arising out of or relating to this Agreement or a Programme that is not resolved in that period shall be resolved by BINDING INDIVIDUAL ARBITRATION under the consumer arbitration rules of a recognized arbitration body, seated in New Jersey, and not in court and not before a jury. This Section is governed by the Federal Arbitration Act, notwithstanding Section 18.
I agree that any arbitration will be conducted ON AN INDIVIDUAL BASIS ONLY. I WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND ANY RIGHT TO A JURY TRIAL.
This Section does not apply to a claim brought in small-claims court, or to a request for injunctive relief.
I may opt out of this Section by emailing admin@orangish.io within 30 days of first accepting this Agreement, stating my name and that I opt out of arbitration. Opting out affects nothing else in this Agreement.
Section 20. Severability, Survival, and Waiver
If any provision of this Agreement is held unenforceable, that provision shall be limited or severed to the minimum extent necessary and the remainder shall continue in full force. In particular, if the release in Section 7 is held unenforceable in whole or in part, Sections 3, 9, 10, 11, and 19 continue to apply, and my acknowledgment of the inherent risks of squash in Section 3 remains admissible for all purposes including the apportionment of comparative fault.
This Agreement survives the end of participation and binds my heirs, executors, administrators, and assigns. A failure to enforce any provision is not a waiver of it.
Section 21. Entire Agreement and Precedence
This Agreement and the Coaching Programme Disclosures and Acknowledgments accepted with it are together one agreement. Where they conflict, this Agreement governs on risk, release, indemnity, medical, and safeguarding matters, and the Disclosures govern on payment, cancellation, packs, data, and communications.
Section 22. Electronic Signature and Acknowledgment
I agree that checking the acceptance box and submitting constitutes my electronic signature, with the same legal effect as a handwritten one. I confirm that I have read this Agreement and the Disclosures accepted with it, that I understand I am giving up substantial legal rights including the right to sue for ordinary negligence and the right to a jury trial, that no representation has been made to me other than what is written in those two documents, and that I am accepting freely.
